3. Intellectual Property

• Your Data: You retain all rights to your data. We use it only to deliver the Services and as necessary to operate systems we build.
• Our Work Product: You own the data systems, reports, and configurations we build for you. You also own documentation and runbooks.
• Our IP: We retain rights to our methodologies, frameworks, tools, and pre-built components. You receive a license to use these as part of your systems.

4. Confidentiality

We agree to keep your business information, data, and system details confidential. We will not disclose to third parties without your consent, except:

• • To subcontractors under strict confidentiality agreements

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• No Indirect Damages: Neither party shall be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, or data loss.
• Cap on Liability: Rivetline's total liability for any claim shall not exceed the fees paid for the specific project in question (or £10,000 if no fees have been paid).
• Exceptions: These limitations do not apply to: (a) breaches of confidentiality, (b) infringement of intellectual property, (c) fraud, or (d) gross negligence.

6. Warranty Disclaimer

EXCEPT AS EXPRESSLY STATED, RIVETLINE PROVIDES SERVICES AND THE WEBSITE "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING:

7. No Guarantees of Results

Rivetline designs and builds data systems to your specifications. We cannot guarantee business outcomes such as cost savings, revenue growth, efficiency improvements, or specific performance metrics. Results depend on adoption, execution, data quality, and factors outside our control. Project outcomes referenced on our website are representative examples, not promises.

8. Payment Terms

• Invoicing: We invoice according to the project agreement (milestone-based, monthly, or as specified).
• Due Date: Payment is due within 30 days unless otherwise stated.
• Late Payments: Late payments may accrue interest at 1.5% per month or the maximum allowed by law.
• Suspension: If payment is overdue, we may suspend Services after providing 7 days' written notice.

9. Termination

• By Mutual Consent: Either party may terminate with written notice if the other party breaches material terms and fails to cure within 30 days.
• Immediate Termination: Rivetline may terminate immediately if you fail to pay invoices or violate laws.
• Upon Termination: We will deliver all work-in-progress deliverables and documentation. You remain responsible for fees incurred through the termination date.

10. Indemnification

You agree to indemnify and hold harmless Rivetline from claims, damages, and costs arising from:

• • Your violation of these Terms or applicable laws
• • Your use of Services in an unauthorized manner
• • Claims related to your data or business operations

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the United Kingdom, without regard to conflict of law principles. Any legal action shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.

12. Entire Agreement

These Terms, along with any executed service agreement, constitute the entire agreement between you and Rivetline regarding the Services and Website. Any prior agreements, understandings, or representations are superseded.
